Rhodes Terms of Service

If you signed a separate Cover Page to access the Product with the same account, and that agreement has not ended, the terms below do not apply to you. Instead, your separate Cover Page applies to your use of the Product.

This Agreement is between OnSafely, LLC and the company or person accessing or using the Product. This Agreement consists of: (1) the Order Form below and (2) the Framework Terms defined below.

If you are accessing or using the Product on behalf of your company, you represent that you are authorized to accept this Agreement on behalf of your company. By signing up, accessing, or using the Product, Customer indicates its acceptance of this Agreement and agrees to be bound by the terms and conditions of this Agreement.

Order Form

Framework Terms: This Order Form incorporates and is governed by the Framework Terms that are made up of the Key Terms below and the Common Paper Cloud Service Agreement Standard Terms Version 2.1, which are incorporated by reference. Any modifications to the Standard Terms made in the Cover Page will control over conflicts with the Standard Terms. Capitalized words have the meanings given in the Cover Page or the Standard Terms.

Cloud Service: Rhodes, a subscription software service that helps individuals and families organize and manage their business entities, trusts, and investments. Users upload documents — such as operating agreements, tax forms, and account statements — and Rhodes uses AI to read them, extract key information, and maintain organized records, compliance calendars, and answers to questions about what they own.

Order Date: The Effective Date

Subscription Period: One (1) month or twelve (12) months, as selected by Customer at checkout

Certain parts of the Product have different pricing plans, which are available at Provider’s pricing page. Customer will pay Provider the applicable Fees based on the Product tier and Customer’s usage. Provider may update Product pricing by giving at least 30 days notice to Customer (including by email or notification within the Product), and the change will apply in the next Subscription Period.

Payment Process:

Automatic payment:

Customer authorizes Provider to bill and charge Customer’s payment method on file monthly or annually, matching the Subscription Period selected by Customer at checkout, for immediate payment or deduction without further approval.

Non-Renewal Notice Period: At least 0 days before the end of the current Subscription Period.

Use Limitations: The Cloud Service is offered only to Customers located in the United States. Monthly subscriptions include processing of up to 500 uploaded documents at signup and up to 200 newly uploaded documents per month thereafter; annual subscriptions additionally include ingestion of Customer’s own historical documents. All allowances are for managing Customer’s own entities, trusts, and investments: using the Cloud Service to process documents on behalf of unrelated third parties, reselling processing capacity, or sharing one account across unrelated organizations is not permitted. If usage substantially or repeatedly exceeds these allowances, Rhodes may contact Customer to discuss an appropriate plan.

Key Terms

Customer: The company or person who accesses or uses the Product. If the person accepting this Agreement is doing so on behalf of a company, all use of the word “Customer” in the Agreement will mean that company.

Provider: OnSafely, LLC

Effective Date: The date Customer first accepts this Agreement.

Governing Law: The laws of the State of Delaware

Chosen Courts: The state or federal courts located in Delaware

Covered Claims:

Provider Covered Claims: Any action, proceeding, or claim that the Cloud Service, when used by Customer according to the terms of the Agreement, violates, misappropriates, or otherwise infringes upon anyone else’s intellectual property or other proprietary rights.

Customer Covered Claims: Any action, proceeding, or claim that (1) the Customer Content, when used according to the terms of the Agreement, violates, misappropriates, or otherwise infringes upon anyone else’s intellectual property or other proprietary rights; or (2) results from Customer’s breach or alleged breach of Section 2.1 (Restrictions on Customer).

General Cap Amount:

The fees paid or payable by Customer to Provider in the 12 month period immediately before the claim

Changes to the Standard Terms

AI processing and Product Role The Cloud Service uses artificial intelligence to read documents, extract information, generate summaries, and answer questions. AI-generated output may contain errors or omissions, and Customer must review it before relying on it. The Cloud Service is an organizational tool only: it does not provide legal, tax, accounting, or investment advice; Provider is not a registered agent, compliance service, or professional advisor; and Provider does not guarantee that any deadline, filing, or obligation is identified, complete, or accurate. Customer remains solely responsible for its own filings, deadlines, and legal obligations. Customer Content submitted to the Cloud Service’s AI providers is not used to train AI models. As between Customer and Provider, Customer owns its uploaded documents and the outputs generated from them, subject to Provider’s underlying rights in the Cloud Service.

Data Portability Customer may export its data, including uploaded documents and extracted records, at any time while its account is active. After expiration or termination and before deletion, Customer may request an export of its data by contacting support@rhodesoffice.ai.

Renewals and Cancellations Subscriptions renew automatically at the end of each Subscription Period until cancelled. Customer may cancel at any time through the billing settings in the Cloud Service, with cancellation effective at the end of the then-current Subscription Period.

Free Trial Provider may offer a free trial of the Cloud Service. Trial access is provided for evaluation purposes, subject to the limits described at signup, and Provider may modify or discontinue trial availability at any time. When a trial ends, access to the Cloud Service is suspended. For 30 days after the trial ends, Customer may restore full access, including its data, by purchasing a subscription. If Customer does not subscribe within that period, Customer data is deleted in accordance with Provider’s published retention practices. Before deletion, Customer may request an export of its data by contacting support@rhodesoffice.ai.
